The deal has been unanimously approved by the boards of directors of both Darden and Ruth’s. The transaction is expected to be completed in June, subject to satisfaction of customary closing conditions. Ruth’s Chris has 154 locations around the globe, including 80 company-owned or -operated restaurants and 74 franchised restaurants, generating systemwide sales of over $860 million and total revenues over $500 million. Ruth’s, owner and operator of Ruth’s Chris Steak House, will add to Darden’s portfolio of differentiated brands, which currently includes Olive Garden, LongHorn Steakhouse, Yard House, Cheddar’s Scratch Kitchen, The Capital Grille, Seasons 52, Bahama Breeze and Eddie V’s. (NYSE: DRI), jointly announced today that they have entered into a definitive merger agreement pursuant to which Darden will commence a tender offer to acquire all of the outstanding shares of Ruth’s for $21.50 per share, in an all-cash transaction with an equity value of approximately $715 million. The food arrived quickly hot and fresh, the service very good, and the bill for two $44 plus tip. Skipping the umbrella drinks we opted fir sweet tea that was really a bit too sweet. Everything on the platter was great: jerk chicken wings (that my wife thought were a little dry), empanadas (really good), coconut shrimp, conch fritters, and three different sauces that were all very good. The fish tacos were okay but the side of fruit and mango sorbet that came with them was eccellent. We ordered a large app platter and island fish tacos more than enough for two.
We were seated quickly for lunch and were greeted by a very nice server who spent a bit too much time going over the lengthy menu and telling us her favorites. A large bar area featuring many island themed boatdrinks occupies the center of the space. large restaurant gives off a tourist oriented vibe. The Town Center location in Virginia Beach is conviently located and offers plenty of parking in a convoluted shopping center parking lot.
